These Terms of Service ("Terms") govern your access to and use of the Agent Enamel website at https://agentenamel.com (the "Website") and the AI dental front desk automation services (the "Services") provided by Agent Enamel ("we," "our," or "us"). By accessing or using the Website or Services, you agree to be bound by these Terms. If you do not agree, do not use the Website or Services.

1. Acceptance of Terms

By accessing the Website, scheduling a consultation, or using the Services, you confirm that you (a) are at least 18 years old, (b) have authority to enter into a binding agreement (on behalf of yourself or your dental practice), and (c) accept these Terms in full.

2. Description of Service

Agent Enamel provides AI-powered front desk automation software for dental practices, including AI receptionist for inbound calls, outbound patient recall and follow-up, appointment booking and confirmation, insurance verification, and integration with Practice Management Systems such as Dentrix, Eaglesoft, Open Dental, and Curve Dental. Specific features and capabilities are described in your service agreement and may evolve over time.

3. Eligibility and Account Registration

The Services are intended for licensed dental practices and authorized representatives. To use the Services, you must register an account and provide accurate, current, and complete information. You are responsible for safeguarding your credentials and for all activity under your account. Notify us immediately of any unauthorized access using the contact information below.

4. Healthcare Compliance and HIPAA

You acknowledge that the Services may involve transmission, processing, and storage of Protected Health Information (PHI) under HIPAA. We will execute a Business Associate Agreement (BAA) with all Covered Entities prior to processing PHI. You agree to: (a) sign and comply with the BAA, (b) ensure your own compliance with HIPAA, applicable state laws, and dental board regulations, (c) obtain all necessary patient consents and authorizations, and (d) not transmit PHI through unsecured channels not approved under the BAA. You remain solely responsible for your own compliance with all healthcare laws.

5. Acceptable Use

You agree not to: (a) use the Services for any unlawful purpose; (b) violate applicable laws or regulations; (c) infringe intellectual property rights; (d) transmit malware, spam, or harmful code; (e) reverse engineer, decompile, or disassemble the Services; (f) resell or sublicense the Services without written permission; (g) use the Services to harass, defame, or harm any individual; or (h) circumvent any security or access controls.

6. Fees and Payment

Fees are set forth in your service agreement or order form. Unless otherwise stated, fees are billed in advance, are non-refundable except as expressly provided, and are exclusive of taxes. Late payments may incur interest at the lesser of 1.5% per month or the maximum rate permitted by law. We reserve the right to suspend Services for non-payment.

7. Cancellation and Refunds

You may cancel your subscription per the terms of your service agreement. Cancellations take effect at the end of the current billing period. Pre-paid fees are non-refundable except where required by law or expressly agreed in writing.

8. Intellectual Property

All content, software, AI models, and functionality of the Services are the exclusive property of Agent Enamel and its licensors, protected by U.S. and international intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Services for your internal business purposes during the term of your subscription. You retain ownership of your data; you grant us a license to use your data solely to provide and improve the Services, subject to the BAA where applicable.

9. Third-Party Services

The Services may integrate with third-party services (e.g., Dentrix, Eaglesoft, Cal.com, Google services). We are not responsible for third-party services, and your use of them is governed by their respective terms and privacy policies.

10. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT AI-GENERATED OUTPUTS WILL BE ACCURATE OR APPROPRIATE FOR YOUR PARTICULAR USE CASE. YOU ARE SOLELY RESPONSIBLE FOR REVIEWING AI OUTPUTS AND DECISIONS REGARDING PATIENT CARE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL AGENT ENAMEL OR ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING FROM YOUR ACCESS TO OR USE OF THE SERVICES. OUR TOTAL CUMULATIVE LIABILITY SHALL NOT EXCEED THE GREATER OF (A) FEES PAID BY YOU TO US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100). SOME JURISDICTIONS DO NOT ALLOW EXCLUSION OF CERTAIN DAMAGES, SO THESE LIMITATIONS MAY NOT APPLY TO YOU.

12. Indemnification

You agree to indemnify, defend, and hold harmless Agent Enamel and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of HIPAA or any other applicable law; (d) your violation of any third-party rights; or (e) any content or data you submit through the Services.

13. Termination

We may suspend or terminate your access to the Services at any time, with or without cause or notice, for conduct that violates these Terms or is harmful to other users, us, third parties, or for any other reason in our sole discretion. Upon termination, your right to use the Services will immediately cease. Sections that by their nature should survive termination (including IP, disclaimers, liability limits, indemnification, and dispute resolution) shall survive.

14. Governing Law and Jurisdiction

These Terms are governed by the laws of the State of Texas, United States, without regard to conflict-of-laws principles. Any dispute arising from these Terms or the Services shall be resolved exclusively in the state or federal courts located in Texas, and you consent to the jurisdiction of such courts.

15. Dispute Resolution and Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall first be addressed by good-faith negotiation between the parties for at least 30 days. If unresolved, the dispute shall be settled by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, in Texas. Judgment on the award may be entered in any court of competent jurisdiction. You agree to resolve disputes individually and waive the right to participate in a class action or class-wide arbitration. Notwithstanding the above, either party may seek injunctive relief in court for IP infringement or breach of confidentiality.

16. Modifications to Terms

We reserve the right to modify these Terms at any time. Material changes will be posted on this page with an updated "Last Updated" date. Continued use after changes constitutes acceptance.

17. Severability

If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.

18. Entire Agreement

These Terms, together with the Privacy Policy and any signed service agreement or BAA, constitute the entire agreement between you and Agent Enamel regarding the Services and supersede all prior or contemporaneous communications.
